The Constitution of UNM Anime Club

Preamble
The members of the UNM Anime Club, in order to establish a not for profit organization for the purpose of discussing anime; Japanese culture; and other nerdy pursuits, and otherwise facilitating its enjoyment within the UNM and Albuquerque community, adopt this Constitution of the Anime Club of the University of New Mexico.

Article I: Membership
Section 1. Membership in the Anime Club shall be open to any member of the UNM community. At least three-fourths of the membership shall be registered students at UNM. Applications for membership will be accepted by the executive board throughout the semester. Membership shall extend from the time the application is approved by the executive board to the first day of the following semester. Dues of $10 per semester will be required upon acceptance into the club.
Section 2. The UNM Anime Club shall not deny anyone membership, nor disallow their presence at Anime Club events on the bias of race, color, religion, national origin, physical or mental handicap, age, gender, sexual preference, ancestry, medical condition, or political affiliation.
Section 3. Membership shall include the right to vote in all elections, permission to participate in all club activities.
Section 4. Expulsion of members other than the officers during each term shall be by one of two methods:

  • A two-thirds vote of the members present and voting at any General Club Meeting.
  • A unanimous vote of the Executive Board. Those voting in place of Officers, as permitted in Section 2 of Article 2 shall be able to vote on such a motion.

Expulsion proceedings may be initiated only by petition of ten members of the Anime Club or by an officer. If expelled by the Executive Board, the member may appeal to the General Club where a simple majority shall suffice to overturn the Executive Board’s decision. The Executive Board shall notify the member in question, in writing, at least one week prior to the vote, and such a member shall be invited to appear before the voting body prior to the vote. The Executive Board members shall also be notified when such notice is given.

Article II: Organization
Section 1. The Anime Club shall be divided into the Executive Board and the General Club.
Section 2. There shall be an Executive Board composed of the President, Vice-President, Secretary, Treasurer, Public Relations, Advertiser, and Historian. The Executive Board shall be responsible for the day to day affairs of Anime Club and is empowered to make such decisions as that are necessary and proper to efficiently carry on the business of the Anime Club, except as otherwise provided in the Constitution and By-Laws. Any such decisions shall be reported to the General Club in the minutes of the Executive Board. A member of the Executive Board may select a club member who may, in his absence, act for the officer within the limits set forth in the By-Laws.
Section 3. The President may veto any motion of the Executive Board at a meeting of the Executive Board. Such veto may be overridden by a majority of the Executive Board. Any vetoed motion must be reported at the next General Club meeting together with an explanation of such actions and may be overridden by a majority of the General Club.
Section 4. Temporary committees may be created by the President, the Executive Board, or the General Club as needed.
Section 5. No one may have more than one vote on the Executive Board.
Section 6. Standing policies of the Anime Club shall remain in effect unless specifically negated by a vote of the Executive Board or the General Club, as appropriate.

Article III: Officers and Their Duties
Section 1. The permanent officers of the Anime Club shall be the President, Vice-President, Secretary, Treasurer, Public Relations, Advertisers, and Historian.
Section 2. The Executive Board shall be responsible for ensuring all events are ready as scheduled. Additionally, each member of the Executive Board shall be assigned periodical club activities that they will be responsible for preparing and executing.
Section 3. The President shall act for the Anime Club and is its official representative, and shall be an ex officio member of all committees. The President shall call and conduct the General Membership meetings of the Anime Club and the meetings of the Executive Board. He shall report at Executive Board meetings all actions taken by him in the name of the Anime Club. In circumstances, the President may assign duties to committees as he sees fit. He shall have other duties as defined in the By-Laws.
Section 4. The Vice-President shall act in place of the President in the event that the President cannot be found or is otherwise indisposed. In circumstances, the Vice-President may assign duties to committees as he sees fit.  He shall have other duties as defined in the By-Laws.
Section 5. The Treasurer shall receive and pay all monies of the Anime Club as authorized by the Club and shall be directly responsible for its financial transactions. He shall handle all financial records and keep them accurate and up-to-date. He shall report at each Executive Board meeting on the financial status of the Club including the Club’s uncommitted funds. The Treasurer shall preside at meetings from which the President and Vice-President are absent. He shall have other duties as defined in the By-Laws.
Section 6. The Secretary shall keep and maintain up-to-date written minutes of the General Club meetings and the Executive Board meetings. He shall be responsible for making the minutes accessible to all club members. He shall maintain all non-financial, administrative records of the Anime Club. He shall have other duties as defined in the By-Laws.
Section 7. The Public Relations Officer shall act as the club liaison affiliates. He shall have other duties as defined by the By-Laws.
Section 8. The Advertiser shall be responsible for keeping the UNM campus up-to-date on open events and publicizing general club meetings. He shall have other duties as defined by the By-Laws.
Section 9. The Historian shall be responsible for keeping the cultural/personal record in the form of photography and digital medium.
Section 10. In the event that an officer must make an executive decision and it is impossible to call a General Club meeting or an Executive Board meeting, each officer is empowered to make said decision to the best of his judgment and is held personally responsible to the Executive Board. It shall be necessary, whenever possible, to secure the approval of the President before making the decision.
Section 11. Upon petition of any ten members or one third the membership (whichever is higher) of the Anime Club -or- a majority of the Executive Board charging incompetence, neglect of duty, or misbehavior due to conflict of interest on part of an officer, a motion shall be brought to the General Club for impeachment and/or expulsion of that officer. Two-thirds of those present and voting, with one-third of the Club members present, shall be necessary to remove and/or expel an officer. A secret vote shall be taken. The Secretary shall notify the person in question and the entire membership of the charges at least one week before the vote.

Article IV: Elections
Section 1. Election of the officers of the Anime Club shall be held during a General Club meeting in November. The officers so elected shall assume their duties on the first day of the spring semester, and shall hold office until relieved by their successors. A majority vote of the total of those members present and voting shall be required to elect any of the officers. Voting for these officers shall be by secret ballot. A special quorum of one-third of the membership shall be required to hold the election. No person may be elected to more than one position.
Section 2. In the event that a vacancy occurs in an office, other than that of President, the President shall appoint someone to fill the vacancy. The appointee shall be ratified by the Executive Board.
Section 3. In the event of a vacancy in the office of the President, the Vice-President shall immediately assume that office until the next General Committee meeting, when a special election shall be held for the post of President, at which point the Vice-President, unless elected President, shall assume his former duties. If the Vice-President is elected President, a special election shall immediately be held to fill the vacancy.
Section 4. Any person who has been a member of the Anime Club for at least one full term shall be eligible for election to an office except that of President. To be nominated for the office of President, a candidate must have held an office for at least one term. These requirements may be waived by a vote of two-thirds of those present and voting at the election meeting.

Article V: Meetings
Section 1. One General Club meeting of the Anime Club shall be held each Spring and Fall Terms as defined in Section 1 of Article 1.
Section 2. A quorum of the General Club shall consist of one-third of the membership or twenty members of the Anime Club, whichever is less. At General Club meetings, no business other than reports and discussions shall be carried on unless a quorum is present.
Section 3. Guests may attend the meetings of the Anime Club and also may have a voice, but no vote, in the proceedings. Admission of such persons to the meetings shall be at the discretion of the President.
Section 4. The latest edition of Anime Club’s Rules of Order, Newly Revised shall decide all questions of procedure not specifically covered in this Constitution or in the By-Laws of the Anime Club.
Section 5. The Executive Board shall hold regular meetings with at least one meeting prior to each General Club meeting. Additional meetings may be called with at least twenty-four-hour notice by the President or three-fourths of the Executive Board members. A majority vote of the Executive Board shall be necessary for any decisions to be made by it.

Article VI: Amendments and By-Laws
Section 1. An amendment to this Constitution must be submitted in writing to the Secretary at least one week prior to a General Club meeting, at which meeting the amendment may be voted upon. The Secretary shall notify the members of the proposed amendment and distribute copies of it to them at least one week prior to the vote. This shall not be construed as prohibiting the General Club from altering an amendment prior to voting upon it, providing the sense is not altered by such action.
Section 2. This Constitution may be amended or suspended at a General Club meeting by a majority vote of the entire Anime Club. This constitution may be amended by a three-fourths vote of all those voting at a meeting.
Section 3. The Anime Club shall have By-Laws as established by this Constitution. The By-Laws may be suspended or amended by a vote of two-thirds of those present and voting at a General Committee meeting.
